These thresholds trigger formal documentation obligations that must be maintained contemporaneously.
Affected businesses are required to prepare and retain a Transfer Pricing Disclosure Form, Master File, Local File, and where applicable, a Country-by-Country Report. These documents must clearly demonstrate how pricing between related entities has been determined and supported by appropriate benchmarking analysis.
Strict Timelines and Documentation Standards
One of the most critical aspects of the UAE transfer pricing regime is timing. If the Federal Tax Authority requests documentation, businesses must submit it within 30 days. There is no allowance for last-minute preparation. Benchmarking studies, intercompany agreements, and supporting financial analysis must already be in place.
Transfer pricing disclosures must also be filed alongside the Corporate Tax return, which is due nine months after the end of the relevant tax period. In addition, all supporting documentation must be retained for seven years.

Cabinet Decision No. 75 of 2023 outlines administrative penalties for non-compliance. Fines begin at AED 10,000 per violation and can increase to AED 20,000 for repeat breaches. Failure to meet Country-by-Country Reporting obligations may result in penalties of up to AED 1,000,000. Beyond financial penalties, businesses also face increased audit scrutiny and potential tax adjustments.
Advance Pricing Agreements and Strategic Planning
In December 2025, the UAE introduced an Advance Pricing Agreement program to provide upfront certainty for high-value controlled transactions, typically exceeding AED 100 million. This multi-stage process includes pre-filing consultations and formal submissions, with review timelines that may extend beyond one year. For qualifying businesses, an APA can significantly reduce long-term tax risk and provide clarity on acceptable pricing methodologies.
Special Considerations for Free Zone Entities
Free zone companies face heightened scrutiny where related-party transactions involve income allocation between qualifying and non-qualifying activities. The Federal Tax Authority is focusing on substance over form, governance controls, and documentation consistency to ensure that profits are aligned with actual economic activity.

The first compliance cycle revealed common challenges, including identifying reportable related-party transactions, formalizing informal arrangements, and implementing structured intercompany policies.
